Stricter rules apply from 1 Jan 2026 for establishing Thai companies

A new order has been issued effective from 1 April 2026. establishing new rules and procedures for registering amendments to a partnership to include a foreigner as a partner or to appoint a foreigner as an authorized signatory director of a limited company.

Order No. 1/2569 (2026) was issued by the Central Partnerships and Companies Registration Office to address Thai nationals acting as nominees to conceal business activities conducted by foreigners, causing damage to the public and undermining the country's economic stability.

Partnership amendments

In the event of a registration amendment to a partnership where all partners are Thai nationals, or where foreign partners collectively hold at least 50% of the total capital, if the amendment results in foreign partners holding less than 50% of the total capital, and there is no foreign managing partner, the registrar shall notify the managing partner who signed the registration request to provide a letter confirming investment in the partnership's capital using the form attached to the order.

Limited company amendments

Regarding the registration of amendments to a limited liability company where all authorized signatories are Thai nationals, if a request is made to register amendments to the directors, or to change the number or names of directors authorized to sign on behalf of the company, resulting in foreign nationals becoming authorized signatories or co-signatories, the registrar shall notify the directors who signed the request for registration to provide a letter confirming investment in the company's capital using the form attached to the order.
